e-Commerce Industry Overview
The e-commerce industry has been growing rapidly at a compound annual growth rate (CAGR) of 14% since 2018, with total sales reaching $948B in 2023. In 2024, e-commerce sales are expected to increase at a slower pace of 6% to approximately $1.0T. Future growth is expected to remain moderate with projected annual sales growth of 6.5% from 2024 to 2027.
As rate hikes appear to be behind us, credit conditions remain tighter and higher interest rates could hamstring broader economic growth and impact consumer spending. Inflationary pressures and supply chain bottlenecks are still being monitored closely, but are not as much of a concern as they were coming out of the pandemic. However, despite these macroeconomic headwinds, numerous trends will help drive further growth within the industry.

Continued M&A Interest
The mergers and acquisitions (M&A) in the e-commerce industry market is well-positioned to see robust activity, although it may not reach the exceptionally high level of deals in 2021. Transaction volumes dipped in 2023 compared to prior years but are expected to rebound as buyers reprioritize inorganic growth after last year’s challenging deal-making environment.
Strategic buyers, who have recently emerged as the most active acquirers, and private equity firms continue to show interest in building e-commerce platforms. Strategic buyers are interested in acquisitions as a mechanism to expand their product offerings, increase market share and improve the customer experience. Private equity firms are attracted by the consolidation opportunity in a highly fragmented target-rich market of the e-commerce industry.
Attractive dynamics include:
